1. Introduction

These Terms & Conditions (“Terms”) govern your use of the B.O.S.S. services (“Services”) provided by [Your Company Name] (“we”, “our”, “us”). By accessing or using our Services, you (“Client”, “you”, “your”) agree to be bound by these Terms. Please read them carefully.

2. Services

We provide access to the B.O.S.S. system, which includes business tools, resources, and related support.

We may update or modify the Services from time to time to improve performance or add functionality.

3. Client Responsibilities

You agree to provide accurate and complete information when registering or communicating with us.

You are responsible for ensuring your login details remain confidential and are not shared with unauthorised users.

You must use the Services only for lawful business purposes.

4. Fees & Payment

Fees for the Services are payable in advance in accordance with the pricing plan selected.

All fees are non-refundable except as required by law.

If payment is not received on time, the system may suspend or terminate access until the account is brought up to date.

5. Term & Cancellation

Your subscription continues on a rolling basis until cancelled in writing.

A minimum 30-day notice period applies to all cancellations.

Cancellation requests must be submitted in writing (email or via our official cancellation form).

Your access will remain active until the end of the 30-day cancellation period.

No partial refunds will be issued for unused portions of a subscription period.

5.1- Account Transfer & Offboarding Policy

i. Transfer to an External Agency

If the Client requests to transfer their existing account, data, or configuration to another independent agency or third-party service provider, the following conditions apply:

Notice: The request will be processed subject to a three (3) month transition fee.

Billing: The Client will be billed for three (3) monthly billing cycles immediately from the date of the written transfer request, regardless of whether they choose to utilise the system during that time.

Data Release: No account credentials, snapshots, or data exports will be released to the new agency until all outstanding balances and the fees are paid in full.

ii. Transition to an Independent GoHighLevel (GHL) Account

If the Client wishes to transition their account into their own independent GoHighLevel (GHL) agency-style account, the Provider will facilitate a standard account copy or snapshot transfer under the following conditions:

Notice Period: The Client must provide a minimum of thirty (30) days' advance written notice prior to their next billing cycle.

Billing: Standard monthly subscription fees will apply during the 30-day notice period. No additional transfer or penalty fees will be assessed.

Client Responsibility: The Client must not establish their own active GHL agency subscription prior to the initiation of the transfer. We will facilitate the entire process directly with GHL.

*Bconnected Reserves the right to refuse any transfer request (part or in full) based on Our IP

6. Intellectual Property

All intellectual property, including software, designs, branding, content, and resources provided as part of the Services remain our property (or that of our licensors).

You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your own business purposes.

7. Limitation of Liability

To the maximum extent permitted by law, we exclude all warranties, guarantees, or conditions not expressly stated in these Terms.

We are not liable for any indirect, incidental, or consequential loss, including lost profits, data, or business opportunities.

Our total liability for any claim arising out of or in connection with the Services will not exceed the total fees paid by you in the 3 months immediately prior to the claim.

8. Privacy

We handle personal information in accordance with the Australian Privacy Principles and our Privacy Policy.

By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales.

10. Changes to Terms

We may update these Terms from time to time. The most current version will always be available on our website. Continued use of the Services after changes are made constitutes acceptance of the revised Terms.
